Merger & Acquisitions

The best deals continue generating value long after the ink dries, but with business more complex and unpredictable than ever before, it’s never been more challenging to craft deals that set the stage for long-term success. The ability to anticipate and adapt is absolutely essential but it requires new levels of innovation—in data, in analytics, in the cloud, and in every phase of the deal and beyond. This is where ILG can make all the difference. We help dealmakers get the insights they need at every step, faster, and we help make sure you’re prepared to move at a moment’s notice.

Litigation & Legal Disputes

When issues arise, we can identify and execute the most advantageous business-oriented solutions, either by pursuing or defending litigation or arbitration proceedings or through other alternative dispute resolution methods, such as mediation or negotiations.

In addition to their acute dispute resolution function, our team fulfill an advisory role in relation to both high value and complex transactional work and day-to-day portfolio management issues, ranging from covenant and/or rights disputes on city center development sites to landlord and tenant issues such as the enforcement of tenant repair obligations.

Our Disputes team works closely with lawyers in our offices around the world to provide exceptional national and international litigation services in areas such as antitrust, investigations and business crimes, international arbitration, product liability/recalls and securities enforcement and litigation.

Real Estate

Real estate has emerged as an attractive long-term investment for investors seeking diversification and stable yields in an uncertain economy. As a sector, real estate must both compete with other investment classes and offer a desirable product to end-users whether they are buying or leasing. In addition, many traditional real estate investors are looking to acquire portfolios that transcend borders resulting in the emergence of a global real estate industry.

Businesses around the world are trying to maximize the efficiency of their real estate portfolios. Whether renting space in a single location or managing real estate investments or portfolios in dozens of countries, businesses must optimize the value of their “bricks and mortar” while minimizing the legal risks, tax impacts and administrative time associated with their real estate.

Our Real Estate team works to provide efficient, knowledgeable and cost effective legal counsel to our clients, nationally and around the world.

Our practice spans the entire spectrum of real property law from property management and leasing, global merger integration, real estate finance, tax and fund formation to experience in niche sectors, including hotels and resorts, homebuilder finance and mining projects.

We represent multinationals seeking global real estate solutions as well as individual investors, REITs and project developers.
We offer a full range of services in areas including financing, fund formation, acquisitions and disposals, tax, land use, environmental law, planning and development, construction and leasing. Our clients benefit from our significant experience in orchestrating high value, long-term projects that involve complex structuring, facilitating negotiations, ensuring tax efficiency, navigating legal and regulatory issues and, when necessary, litigating on their behalf.

Strategy Consulting

We use the firm’s unrivalled mix of capabilities to deliver strategies that are both insightful, industry relevant and practical. This is what we mean by ‘distinctive strategies that work'. We assist clients in a wide range of strategic issues including growth and capability, market entry, diversification, target operating model, leading to business transformation. Our approach is collaborative, but analytically rigorous and backed by a strong financial plan.
We work closely with our international strategy network to deliver these assignments. Along with our industry leaders in industrial products, consumer and retail, telecom, infrastructure, pharmaceuticals, healthcare and aerospace and defence, we provide relevant and pragmatic advice. Recent acquisitions have further strengthened our capabilities in this area.

Banking & Finance

Our Finance practitioners help clients structure and execute transactions that efficiently navigate the path between risk and reward. Whether representing lenders, investors or borrowers, our lawyers are carefully attuned to helping clients achieve their objectives. We recognize that each transaction is unique, and our lawyers can promptly move as needed from public to private markets, from capital markets to loan markets, and from relatively simple to complex, asset-backed structures. The Firm also has a unique set of skills and experiences to manage complex, cross-border transactions. Beyond our local knowledge of legal issues, our lawyers are familiar with the customs and protocols of those markets giving our clients unmatched representation.

Govt. Contracting

Our clients who provide products and services to governments must contend with ever-changing procurement rules and regulations. Many opportunities are open to them—but accompanied by legal consequences for everyone involved.

To help our clients meet these challenges, our government contracting practice has grown to become one of the largest of its kind in the world. Unlike many others, we act for both governments and global contractors on their contracting and procurement requirements.

We provide tailored advice and legal services on virtually every aspect of government contracting and public procurement, from bid strategy through to potential challenge. These services include preparation of strategic alliance agreements and teaming arrangements; bid protests and challenges; and contract administration and claims. Our lawyers also litigate contract disputes and claims involving contractors.

Insurance

We view the companies that we work with not only as clients for a discrete project but also as business partners with whom we seek to create value over both the short and long term. We focus on providing advice in the context of the insurance sector as a whole and clients’ existing circumstances and aspirations within the industry.

We offer a comprehensive range of insurance services, including transactional, regulatory, commercial, coverage, dispute resolution and claims, competition, restructuring and emergency response.

We represent both startups and established multinational life and non-life (re)insurers, Lloyd’s entities, intermediaries, banks, other financial institutions, capital providers (including hedge funds, private equity funds and venture capital funds), regulators and other insurance industry participants.

We understand the business of insurance as well as the legal issues that underpin the insurance sector.
